Terms of Service

By accessing or using the Execution Capital platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and Execution Capital. We may update these Terms from time to time, and your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

Execution Capital provides a platform that connects startups, experts, and investors. Our services include:

Facilitating connections between startups and expert consultants
Managing project-based work arrangements and compensation
Issuing and managing GPU representing portfolio ownership
Providing tools for deal structuring, valuation, and portfolio management
Enabling equity and revenue-sharing arrangements

3. User Accounts and Registration

To use certain features of the Platform, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and update your account information to keep it accurate
Maintain the security of your account credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

4. User Responsibilities

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

Violate any applicable laws or regulations
Infringe upon the rights of others, including intellectual property rights
Transmit any harmful, offensive, or inappropriate content
Interfere with or disrupt the Platform or servers
Attempt to gain unauthorized access to any part of the Platform
Use the Platform for any fraudulent or deceptive purpose
Impersonate any person or entity

5. GPU and Equity

The Platform may issue GPU that represent certain rights or interests. You understand and agree that:

GPU are not securities and do not represent ownership in Execution Capital
The value of GPU may fluctuate and is not guaranteed
GPU may be subject to vesting schedules or other restrictions
You are responsible for understanding the rights and limitations associated with GPU
Equity arrangements are subject to separate agreements and legal documentation

6. Expert and Startup Relationships

The Platform facilitates connections between startups and experts. You understand that:

Execution Capital is not a party to agreements between startups and experts
All work arrangements, compensation, and terms are negotiated directly between parties
You are responsible for conducting due diligence on potential partners
Execution Capital does not guarantee the quality, accuracy, or outcome of any work performed
Disputes between users must be resolved directly between the parties involved

7. Intellectual Property

The Platform and its content, including but not limited to text, graphics, logos, and software, are the property of Execution Capital or its licensors and are protected by intellectual property laws.

You retain ownership of content you create or upload to the Platform. By uploading content, you grant Execution Capital a license to use, display, and distribute such content as necessary to provide the Platform services.

8. Payment and Fees

Certain features of the Platform may require payment of fees. You agree to:

Pay all fees associated with your use of paid features
Provide accurate payment information
Authorize us to charge your payment method for applicable fees
Understand that fees are non-refundable unless otherwise stated

9. Privacy

Your use of the Platform is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXECUTION CAPITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Execution Capital provides the Platform "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Platform will be uninterrupted, secure, or error-free.

11. Indemnification

You agree to indemnify, defend, and hold harmless Execution Capital and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or relating to your use of the Platform, violation of these Terms, or infringement of any rights of another.

12. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any reason, including if you breach these Terms.

You may terminate your account at any time by contacting us. Upon termination, your right to use the Platform will cease immediately.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in the United Kingdom.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.
